1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HashCore FZ-LLC ("Company," "we," "us," "our," or "HashCore"), a limited liability company registered in the United Arab Emirates.

By accessing, browsing, or using any of HashCore's website (https://hashcore.com), software, applications, services, products, and related platforms (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Services.

These Terms apply to all users, including without limitation users who are contributors of content, information, and other materials or services on the Services.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use the Services, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Not be restricted from using online services due to legal, contractual, or regulatory requirements
• Not be a resident of or operating from jurisdictions where HashCore Services are prohibited by law
• Comply with all applicable laws and regulations in your jurisdiction

2.2 Account Registration

When you register for an account on the Services, you agree to:

• Provide accurate, truthful, and complete information
• Keep your account information current and up-to-date
• Maintain the confidentiality of your account credentials and password
• Accept responsibility for all activities conducted under your account
• Notify HashCore immediately of any unauthorized access or security breach
• Not share your account credentials with third parties

HashCore reserves the right to suspend or terminate accounts that contain inaccurate, incomplete, or fraudulent information.

3. License Grant and Intellectual Property

3.1 Limited License

HashCore grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Services for lawful purposes only
• View, read, download, and copy content for personal, non-commercial use
• Use HashCore software in accordance with the terms of the applicable End-User License Agreement (EULA)

3.2 Restrictions

You may NOT:

• Reproduce, distribute, modify, or create derivative works of the Services
• Decompile, reverse-engineer, or disassemble any software or code
• Use the Services for any commercial purpose without written consent
• Rent, lease, or lend the Services to third parties
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Services in violation of any applicable law or regulation
• Engage in any activity that disrupts or degrades the Services
• Attempt to gain unauthorized access to the Services or related systems

3.3 Intellectual Property Rights

All content, features, functionality, and materials on the Services, including text, graphics, logos, images, software, and documentation, are owned by HashCore or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

4. Prohibited Uses and Activities

You agree NOT to use the Services for:

4.1 Illegal Activities

• Any activity that violates local, national, or international laws
• Fraud, money laundering, or financial crimes
• Terrorism financing or support for illegal organizations
• Sale or distribution of illegal goods or services
• Circumvention of sanctions or export controls

4.2 Malicious Activities

• Developing, deploying, or distributing malware, viruses, or ransomware
• Attempting to gain unauthorized access to systems or accounts
• Disrupting or interfering with the Services or infrastructure
• Engaging in denial-of-service (DoS) attacks
• Phishing, social engineering, or other deceptive practices
• Using automated tools to scrape, crawl, or extract data without permission

4.3 Cryptocurrency and Mining Restrictions

• Mining cryptocurrency in jurisdictions where it is prohibited
• Using HashCore for illegal cryptocurrency activities
• Market manipulation or insider trading in digital assets
• Ponzi schemes or other fraudulent investment schemes
• Transactions involving sanctioned cryptocurrencies or mixing services
• Money laundering through cryptocurrency transactions

4.4 Content and Conduct

• Posting, uploading, or transmitting any defamatory, abusive, or offensive content
• Harassing, bullying, or threatening other users
• Impersonating any person or entity
• Violating the privacy or rights of others
• Spam, unsolicited commercial messages, or advertising
• Distributing sexually explicit, child abuse, or violent content

4.5 Geographic Restrictions

The Services are not available to residents of or persons operating from:

• North Korea
• Iran
• Syria
• Cuba
• Countries subject to comprehensive U.S. sanctions programs
• Jurisdictions where cryptocurrency or digital asset activities are prohibited

5. User Content and Conduct

5.1 User Responsibilities

You are solely responsible for:

• All content you post, upload, transmit, or display ("User Content")
• The accuracy, quality, and legality of your User Content
• Obtaining all necessary rights, licenses, and permissions for User Content
• Ensuring your User Content does not infringe upon third-party rights

5.2 License to User Content

By posting or uploading User Content, you grant HashCore a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Store, display, reproduce, and distribute your User Content
• Modify or create derivative works for operational and improvement purposes
• Use your User Content for analytics, research, and service optimization
• Comply with legal obligations and law enforcement requests

5.3 Content Moderation

HashCore reserves the right to, but is not obligated to:

• Review, monitor, and filter User Content
• Remove or restrict access to User Content that violates these Terms
• Suspend or terminate accounts that repeatedly violate policies
• Disclose User Content to law enforcement when legally required
• Report illegal activities to appropriate authorities

6. Payment, Billing, and Refunds

6.1 Payment Terms

If you purchase paid Services, you agree to:

• Pay all applicable fees in the currency and amount specified
• Keep your payment method current and valid
• Not dispute legitimate charges (chargebacks may result in account termination)
• Pay all taxes, duties, and other governmental charges

6.2 Billing and Subscription

• Billing occurs on a regular schedule as specified during purchase
• Subscription automatically renews unless cancelled before the renewal date
• Price changes will be communicated with at least 30 days' notice
• HashCore may modify subscription terms or discontinue Services with notice

6.3 Refund Policy

• Refunds are generally not available for used Services
• Refund requests must be submitted within 30 days of purchase
• Refunds are evaluated on a case-by-case basis
• Refunds due to technical failures or service outages will be granted
• No refunds are available for voluntary account closure after service usage

6.4 DevFee and Mining Rewards

For mining-related Services:

• DevFee is automatically deducted as specified in your agreement
• DevFee percentages and calculations are transparent and documented
• Mining rewards are subject to blockchain confirmation and network fees
• HashCore is not responsible for cryptocurrency price fluctuations
• No guarantees are made regarding mining profitability or success

7. Disclaimer of Warranties

7.1 "As-Is" and "As-Available"

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HASHCORE DISCLAIMS ALL WARRANTIES, INCLUDING:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF TITLE OR NON-INFRINGEMENT
• WARRANTIES OF ACCURACY, COMPLETENESS, OR TIMELINESS
• WARRANTIES OF UNINTERRUPTED OR ERROR-FREE SERVICE

7.2 No Guarantees

HashCore does NOT guarantee:

• Continuous or uninterrupted access to the Services
• Error-free, virus-free, or malware-free Services
• Specific results or profits from using the Services
• Security or privacy of your data (though we implement reasonable safeguards)
• Mining success, profitability, or cryptocurrency rewards
• Protection against cryptocurrency volatility or market losses

7.3 Third-Party Services

The Services may integrate with third-party services, platforms, and providers. HashCore is not responsible for:

• Performance, availability, or reliability of third-party services
• Data practices of third-party service providers
• Fees, charges, or costs associated with third-party services
• Security breaches or data loss from third parties

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASHCORE SHALL NOT BE LIABLE FOR:

8.1 Direct Damages

• Direct damages, losses, or injuries arising from your use of the Services
• Damages caused by unauthorized access or hacking
• Damages from cryptocurrency price fluctuations or market volatility
• Financial losses from mining, trading, or digital asset activities

8.2 Indirect Damages

HASHCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, or business opportunities
• Loss of data or corruption of files
• Loss of goodwill or reputation
• Emotional distress or mental anguish

Even if HashCore has been advised of the possibility of such damages.

8.3 Liability Cap

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, HASHCORE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HASHCORE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

If you have not paid any fees, HashCore's liability is limited to the cost of re-performing the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless HashCore, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services or violation of these Terms
• Your violation of any applicable law or regulation
• Your User Content or violation of third-party rights
• Any claims by third parties related to your account or conduct
• Your use of the Services for unlawful or prohibited purposes
• Any cryptocurrency or financial losses related to your use of Services

10. Termination and Suspension

10.1 Termination by You

You may terminate your account at any time by:

• Contacting HashCore support at [email protected]
• Following the account deletion procedure in your account settings
• Submitting a written termination notice to our registered address

Upon termination, you lose access to your account and any associated Services.

10.2 Termination by HashCore

HashCore may terminate or suspend your account, with or without notice, if:

• You violate any provision of these Terms
• You engage in prohibited activities or conduct
• Your account is used for illegal or fraudulent purposes
• You pose a security threat to the Services or other users
• You fail to comply with applicable laws or regulations
• You engage in chargeback disputes or payment fraud
• HashCore discontinues the Services

10.3 Effect of Termination

Upon termination:

• Your access to the Services is immediately revoked
• Any licenses granted to you are terminated
• Your User Content may be deleted without recovery
• You remain liable for any outstanding fees or obligations
• Certain provisions of these Terms survive termination

11. Changes to Terms and Services

11.1 Modification of Terms

HashCore reserves the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' advance notice via:

• Email notification to registered users
• Prominent announcements on the Services
• In-app notifications where applicable

11.2 Continued Use as Acceptance

If you continue using the Services after the notice period, you accept the modified Terms. If you do not agree, you must terminate your account and cease using the Services.

11.3 Modification of Services

HashCore may modify, suspend, or discontinue Services (or any part thereof) at any time with reasonable notice. We are not liable for any modifications or discontinuation of Services.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

For users in the EU/EEA, GDPR and applicable EU directives take precedence where they provide greater protection.

For California users, California Consumer Protection Laws apply to the extent not preempted by federal law.

12.2 Dispute Resolution Process

Before initiating legal proceedings, you agree to:

1. Attempt informal resolution by contacting [email protected]
2. Participate in good-faith negotiations for 30 days
3. If unresolved, proceed to mediation (mutually agreed upon mediator)
4. If mediation fails, proceed to binding arbitration or litigation

12.3 Arbitration Clause

Any dispute arising from these Terms shall be resolved by binding arbitration conducted under the Rules of the International Court of Arbitration, seated in Dubai, United Arab Emirates.

Exceptions: Disputes involving intellectual property infringement or violations of confidentiality may be pursued in court.

12.4 Jurisdiction

You irrevocably submit to the jurisdiction of:

• The courts of Ras Al Khaimah, United Arab Emirates
• Or other courts as permitted by applicable law
• For users in other jurisdictions, local courts may have jurisdiction

12.5 Class Action Waiver

You agree not to participate in class action lawsuits or class-wide arbitrations against HashCore. Disputes must be resolved individually.

13. Limitation of Actions

Any legal action or proceeding related to these Terms must be commenced within one (1) year after the cause of action arises. After one year, the right to take legal action is barred.

14. Confidentiality

14.1 Confidential Information

Each party agrees to:

• Protect confidential information disclosed by the other party
• Use confidential information only for purposes authorized by these Terms
• Implement reasonable security measures to prevent disclosure
• Not disclose confidential information to third parties without consent

14.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of confidentiality
• Is rightfully received from third parties without confidentiality restrictions
• Is required to be disclosed by law or court order
• Is developed independently without reference to confidential information

15. Compliance with Laws and Regulations

15.1 Legal Compliance

You agree to comply with all applicable laws, regulations, and rules in your jurisdiction, including:

• Anti-Money Laundering (AML) and Know-Your-Customer (KYC) requirements
• Securities laws and regulations
• Tax reporting and payment obligations
• Export control and sanctions compliance
• Cryptocurrency and digital asset regulations

15.2 Sanctions and Export Controls

You certify that:

• You are not subject to economic sanctions or export restrictions
• You do not reside in a sanctioned jurisdiction
• You will not use the Services for prohibited purposes
• You will comply with all applicable export control laws

15.3 Regulatory Changes

HashCore may modify Services to comply with regulatory requirements. You are responsible for understanding how regulations in your jurisdiction affect your use of the Services.

16. Notices and Communication

16.1 Notice Delivery

HashCore may deliver notices by:

• Email to the address associated with your account
• Posting on the Services or website
• In-app notifications
• Certified mail to your address on file

16.2 Your Notices

You must send notices to:

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and HashCore regarding the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, that provision is severed, and the remaining provisions continue in full force and effect.

17.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without HashCore's written consent. HashCore may assign these Terms to any successor or affiliate.

17.5 No Agency

These Terms do not create a partnership, agency, or employment relationship between you and HashCore.

17.6 Interpretation

Headings and section titles are for reference only and do not affect interpretation. "Including" means "including without limitation."

18. Acknowledgment and Acceptance

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT:

1. You have read, understood, and agree to be bound by these Terms
2. You have the legal capacity to enter into this agreement
3. You comply with all eligibility requirements
4. You accept all disclaimers and limitations of liability
5. You understand the risks associated with cryptocurrency and digital assets
6. You are solely responsible for your use of the Services
